The courts, most often.
It comes down to intent as most civil cases do.

Who decides? Sometimes ICAHN, sometimes a court.
The "court of public opinion" might say otherwise but that really has little power.

Pocketbook is asking the court to decide.
It might be a negotiating tactic, it might not.
The court might side with them, they might not.
One way or another, the legal system will have its say.
