Short answer: nobody knows

Longer answer: windows pops up that dialog when it "thinks" the software needs a reboot. This can happen for all sorts of reasons, for example, at least historically, if the program launched another program, such as a browser window or an editor, and that browser window is still running at the time of upgrade.
