Even that's not really true. The upgrade is sent to your account, just like a pending book delivery, so you'll get it the next time you turn on WiFi, just as you would if you'd bought a book and sent it to your device. You don't have to have WiFi turned on at the actual time that Amazon tries to send you the upgrade.
