If you want her to be able to read the books that are currently on the kindle, then simply deregister it from your account at Amazon. If you don't want her to be able to read the books that are currently on the kindle, then delete them off (using factory reset) and deregister it from your account. Then, she can register it with her own amazon account.

She never has to actually register the kindle with amazon if she doesn't want to. So long as it has the software, she can just drag books from her computer onto the kindle. It's only the initial startup to add the software that requires registration.

I loan my Kindle out occasionally. By deregistering it, they can read the books already present on the kindle, but can't access my amazon account, not even for archives.
