It isn't "free" in the sense of having to provide income from ads - it's software provided by the company that contracts with libraries and bookstores to fulfill their orders. No worse than installing Adobe ADE. Overdrive makes their money from the people at the other end and is involved even for EPUBs at the library (just on the back-end, rather than the front for audibooks).
It's also who will fulfill the Harry Potter books and oversee the library system on Kindle.
