Not that I would upgrade. One camera makes the device illegal for me to have at work, which is why I bought one before the new model came out. But I am curious to know if the new one is worth the upgrade.

I never had the iPad I, the iPad II was my first iPad. It's funny, when the first iPad was released, I really wasn't interested in it, as I really wanted a large-screen eink device, as I would get headaches when staring at my laptop for too long. I bought it on a whim, as I knew that I could return it within two weeks if I didn't like it. I ended up really enjoying it. I really like the "speed" of the iPad when reading PDFs, and now I'm glad that I opted for a device with an LCD screen. Also, I do like having colour. I do use the camera's for Skype quite frequently, so I'm glad that I bought the iPad II rather than the iPad I. Other than that, I don't think that I really do anything on it that would warrant an upgrade if I had already owned the iPad I. I do like the thinner form factor of the iPad II better, though, and the white bezel.
