To do it the safest way, you don't discuss passwords during the whole process...
You log into your own account, then tell the other person to give you their serial number. Then you de-register the Kindle again immediately after book swapping is done. Passwords to accounts are never shared and Kindles don't stay on other peoples accounts for longer than needed.
