This is where I will have to disagree with you.
Hardware perspective, both are tablets, but the Android Operating System on the Nook Color has been locked so the user won't access to the additional operating system features, like Android Market, only access to certain features installed by default.
If the price is ok for you and rooting or not gives you what you like and need, go for it.
