There are two issues. I believe that copyright allows you to modify the electronic file as you will but NOT to allow it out of your possession, NOT to gift it.

The agent sells you a license that you may or may not abide, but that's between you and the agent.

I-ANAL y'all better get your own copyright attorneys to advise you on your abilities and liabilities under copyright and contract law.
