Aside from raw power, the Siri addition seems to be the real differentiator. A couple of nice pages I've found.

Digging deeper into the background, Siri was available as an app, not as fully-integrated with all phone features, but available for the iPhones 3 and 4, but that's now been pulled and the servers will be taken down on October 15th.

I'm assuming she'll get that functionality back when ios5 debutes . I don't think there is any particular hardware neccessary for the functioning of the voice command features, save maybe RAM and processor power. I expect Apple might admonish device users that those devices with less capable hardware than the 4S will experience lesser functionality.
