I am not sure what you want.

If you edit in Sigil:
The first is just a paragraph
If you want to make it a Level 1, replace:

<p><font size="+1"><span class="bold">

with

<h1>

and change the trailing </p> to </h1>

the second is ALREADY a valid second level (the level is 2 if after a H1 somewhere, otherwise it is top level)
Sigil will build your TOC from the H1, h2,h3 tags
